IPO Advisory Services

The decision to go public through an Initial Public Offering (IPO) is one of the most critical that a business owner can face. Taking a business public is a complicated and time-consuming process that is fraught with many hurdles and pitfalls. The myriad of issues and problems that must be addressed to achieve a successful offering require the involvement of an experienced advisor. At Agrata we have the breath and depth of expertise to guide you through this process. Our services are designed to assist business owners at every step of the process.

Our team will assist in determining whether an IPO is the right step in the company’s development. We will assess whether the business is ready to operate as a public company, including reviewing the following areas:

Is the company’s system of internal controls sufficient?

Is there sufficient financial information available to meet registration requirements?

Does the company have appropriate compensation arrangements in place with key executives and employees to retain and motivate them in the public environment?

Through the integration of our various other practice areas, we can supplement the company’s resources to address these and any other needs that are identified in the overall assessment.

If an IPO isn’t the right step our Strategy Group can help identify potential alternatives, including joint venture opportunities, strategic investors, or sale or merger opportunities.

We will work with you to select the best underwriter for your offering based upon factors including experience with similar companies, syndication and distribution capabilities and cost.

We will work with you throughout the registration process, including drafting the registration statement, responding to SEC comments and drafting the required financial statements and other financial information, including the MD&A.

Once public, the company will be faced with additional reporting requirements, including periodic financial statement requirements and supplemental information reporting for analysts and investors.
